DeSpellTerms of Use

Legal / human authorization

Terms built around what DeSpell actually does.

These Terms govern access to DeSpell’s supervised beta. They describe the boundary between AI-assisted planning, deterministic checks, third-party infrastructure and the transaction that only you can authorize in your wallet.

Postal address

Not published during the free MVP beta. This is a temporary release-policy deferral, not a finding that an address is legally unnecessary. A verified postal/business address must be published before DeSpell charges any fee, starts a paid plan, or removes the beta label, or earlier if applicable law or legal review requires it.

1. Scope and agreement

These Terms apply when you access or use the DeSpell web application, its conversational interface, route comparison, portfolio views, transaction preparation and related beta features. By expressly accepting the current version, you agree to these Terms. If you do not agree, do not continue to the application.

DeSpell is currently a supervised beta. Availability on a production website does not mean every feature, chain, token, protocol or jurisdiction is approved for unrestricted use. Mainnet transaction preparation may be disabled or restricted to an operator-approved closed-alpha wallet list.

2. Eligibility and your responsibilities

You must have legal capacity to accept these Terms and must be permitted to use the service where you are located. You are responsible for checking restrictions that apply to you, including sanctions, token or protocol eligibility, tax and regulatory requirements.

  • Use only wallets and accounts you are authorized to control.
  • Keep wallet, passkey and device access secure.
  • Confirm the chain, token contract, amount, recipient, transaction target, spender, allowance, minimum received and fees before signing.
  • Do not use DeSpell to evade law, sanctions, access controls or third-party terms.

3. AI assistance is a proposal, not authority

The language model may interpret a request and propose a bounded plan. It does not determine verified token contracts, sign transactions, grant token approval or decide whether an address is safe. Deterministic rules and provider evidence resolve material execution facts, and ambiguity may cause DeSpell to ask another question or stop.

Natural-language systems can misunderstand incomplete, contradictory, mixed-language or adversarial requests. You must review the resulting plan rather than treating fluent text as proof.

4. Wallets, authentication and key control

A DeSpell account is a single passkey. The passkey private key is created and held by your device authenticator, never leaves it, and signs for an ERC-4337 smart account whose address is derived from that passkey. An external wallet you connect instead remains controlled through its own provider and approves every message and transaction in that provider’s own interface.

DeSpell does not ask for a seed phrase and does not hold or receive a raw private key on any path. It therefore cannot sign for you and cannot recover your account. Access to a passkey account depends on the device or platform passkey sync you configured, and an external wallet keeps the separate custody, recovery and security model of its own provider.

5. Transaction review, approval and submission

DeSpell prepares a transaction request and performs point-in-time checks before presenting it. Only your wallet can authorize submission. A token approval and the later swap, bridge or other action are separate transactions and may require separate signatures.

An approval can succeed even when the later action fails, expires or is never submitted. Unused allowance may remain until used, changed or revoked. A transaction hash or source-chain receipt does not by itself prove final destination settlement.

6. Routes, quotes and third-party services

Route cards normalize candidates returned by registered providers. Labels such as highest quoted output, shortest estimate or smallest quote-floor gap describe only the fields available in that comparison. They are not a promise of global optimality, all-in lowest cost, liquidity, safety or settlement time.

Wallet, routing, RPC, simulation, security, bridge, exchange, market-data and authentication providers operate under their own terms and may reject, delay, reprice or stop a request. DeSpell does not control their contracts, infrastructure, governance or availability.

7. Onchain and market risks

Onchain actions can be irreversible. Risks include smart-contract defects, malicious or upgraded contracts, bridge failure, liquidity loss, slippage, depeg, oracle failure, front-running, validator or sequencer outage, chain reorganization, governance action, wallet compromise and incorrect addresses.

Simulation is a point-in-time test, not a guarantee. Reputation and market-data services are signals, not audits or warranties. You should use only amounts you can afford to put at risk.

8. No investment, legal or tax advice

Information and comparisons are provided to operate the product. They are not personalized investment, legal, accounting or tax advice; a recommendation to buy or sell; or a promise of returns or principal protection. Obtain professional advice when appropriate.

9. Acceptable use

You may not misuse DeSpell or help another person do so.

  • Do not probe, bypass or overload authentication, rate limits, simulation, recipient checks or execution gates.
  • Do not upload malware, steal credentials, impersonate another person or interfere with other users.
  • Do not use the service for fraud, money laundering, sanctions evasion, market manipulation or unlawful activity.
  • Do not falsely represent beta output as an audit, certification, guaranteed quote or completed settlement.

10. Beta availability and changes

Features may be changed, limited, suspended or discontinued to protect users, comply with law, respond to provider changes or improve the product. Quotes and drafts expire. DeSpell may refuse to prepare or submit a request when evidence, authentication, provider data or simulation is missing or inconsistent.

Material Terms changes will use a new policy version and require a new explicit acceptance in the product. Continuing to use a superseded browser record is not treated as acceptance of a new version.

11. Intellectual property and feedback

DeSpell and its original interface, documentation and software are protected by applicable intellectual-property law. Third-party names, marks and software remain the property of their owners. If you provide feedback, you permit the operator to use it to improve the service without transferring ownership of your pre-existing material.

12. Disclaimers and limits

To the maximum extent permitted by applicable law, the beta is provided on an “as available” basis without a guarantee of uninterrupted access, error-free interpretation, route availability, safety, execution, destination settlement, returns or principal.

Nothing in these Terms excludes or limits rights, remedies or responsibilities that cannot lawfully be excluded or limited. The final liability language, governing law and dispute process must be reviewed against the verified operator and launch jurisdictions before unrestricted public launch.

13. Suspension, termination and survival

You may stop using DeSpell at any time. Access may be restricted when required for security, legal compliance, provider integrity or misuse prevention. Terms that by their nature should survive, such as completed transaction responsibilities, intellectual property and lawful limitations, continue after access ends.

14. Operator, governing law and contact

The verified operator and legal contact appear in the status panel above. Governing law and dispute venue appear when configured. During an explicitly configured free MVP beta, the panel may instead mark the postal address as temporarily deferred. That deferral ends before DeSpell charges any fee, starts a paid plan or removes the beta label, and may end earlier when applicable law or legal review requires it.
